Background

The Raoul Wallenberg Institute of Human Rights and Humanitarian Law (RWI) is an independent academic institution, founded in 1984 and affiliated with Lund University in Sweden. The Institute contributes to a wider understanding of and respect for human rights and international humanitarian law. The vision of the Institute is just and inclusive societies with effective realisation of human rights for all. In light of this, the Institute contributes to strengthening structures, systems and mechanisms for the promotion of human rights at all levels in social development. RWI has since 1990 been implementing a wide range of human  rights capacity development programmes for institutions in developing countries, mainly with the support of Swedish Development Cooperation (Sida). These programmes and projects have primarily targeted state agencies in the field of administration of justice, academic institutions and National Human Rights Institutions (NHRIs). RWI has supported actors in the field of human rights in Asia since the mid-1990s through both bilateral and regional programmes. RWI's regional cooperation in Asia has traditionally focused on strengthening the capacities of academic institutions to carry out human rights education and research, and of National Human Rights Institutes (NHRI) to fulfil their protection and promotion mandates. In recent years, RWI has increasingly focused on
human rights and their importance to sustainable development, particularly while responding to climate change and environment.
RWI has had a presence in Indonesia since 2005 and has worked with various Indonesian government ministries and departments to strengthen the application of their human rights obligations and commitments. Currently, RWI has a bilateral agreement with the Indonesiangovernment, but has expanded its reach across the Asia Pacific, through securing funding to operate regional programmes. The incorporation of a bilateral relationship with the Indonesian government, within regionally funded programmes, is the most likely scenario for RWI in the region. In short, RWI intends to remain focused on the Asia Pacific region, while
based in Indonesia and seeking opportunities for growth.

RWI has made a commitment to Indonesia through settling its Regional Asia Pacific Office in Jakarta (https://rwi.or.id/) and securing a 'Principle Permit' with the Ministry of Foreign Affairs' Inter-Ministerial Committee (Interkem) and an 'Operational Permit' with the Ministry of Law and Human Rights (MoLHR). These permits are current and have an option for an automatic two-year renewal from March 2021. The permits have been renewed under the terms and conditions of the Indonesian Government Regulation 59 concerning Foreign Non- Government Organisations (2016). RWI's previous permit expired in 2018 and the
current permits were signed off in August 2020. These renewed permits incorporate Indonesian tax and legal obligations on RWI.

RWI's staffing has grown from two or three national staff in 2017, to the current ten staff, which includes a non-Indonesian Director of the Regional Asia Pacific and Jakarta Offices. The Director is an Australian citizen, on a Swedish temporary contract, under Swedish legal provisions. RWI also has a staff member who holds dual nationalities (Swedish and Thai) and is sub-contracted to RWI through a development scheme within Swedish diplomatic and international development arrangements until 27 November 2021. This Bangkok-based staff member has been recruited by RWI and will be transferring to RWI's employment in January 2022 and will be contracted by PersolKelly, Thailand to ensure compliance with
Thai legal requirements.

RWI's remaining staff are Indonesian nationals who are on Kelly Recruitment Services' contracts. RWI retains the services of Kelly Recruitment Services to meet the Indonesian labour law requirements regarding employee entitlements and obligations under Indonesian law. RWI also provides additional entitlements to its employees under its own internal guidelines.

Given RWI's growth trajectory and potential to secure more programmes and funding, RWI has taken the decision to assume the full financial and administrative management of its staff within its Jakarta office. Naturally, this would involve RWI assuming full responsibility of its employee's wage payments and obligations under Indonesian law. Moreover, RWI's legal obligations and responsibilities as a Principle and Operational Permit holder under
Indonesian law.

Since 2020, RWI has engaged several consultants to support its transition into direct employment of its staff and to secure its principle and operational permits. These consultancies included strengthening RWI internal processes to ensure compliance with Indonesian tax laws, procuring human resource management systems, drafting an Indonesian staff handbook and a full review of its internal administrative control and financial accountability systems. RWI has made the necessary changes to personnel to enable the best application of consultant's recommendations. Due to unforeseen circumstances, RWI's responsible person obligations with the Indonesian taxation department had to be outsourced to support its tax payments from August 2021. RWI foresees this critical support function will continue to be outsourced for several months, until an internal replacement can be fully secured.

RWI recognises the need for accurate and punctual support in its operations, to ensure compliance with Indonesian laws and processes. Considering this, RWI is seeking to secure the services of an individual or firm to act as its tax representative with Indonesian tax authorities and to provide guidance and direction on various legal obligations, as things emerge over the coming 13 months. The exact nature of these obligations is unclear at the time of writing, but they are predicted to involve RWI's obligations with Indonesian authorities as it transitions to direct employment of its staff and taxation.
