Introduction and background

Yayasan Rumah Energi (Rumah Energi) is a non-profit grassroots CSO level civil society organization established in November 2012. Rumah Energi has implemented programs focusing on Renewable Energy, Climate-Smart Agriculture, and Social Entrepreneurship. One of its key activities during its first 10 years of existence, was the implementation of the Indonesia Domestic Biogas Programme, in close collaboration with Hivos. In 2022 Hivos transferred the role of Coordination and Management Entity from Hivos to YRE, which put YRE in charge of the Gold Standard certified carbon system of the IDBP (also called the BIRU programme). The carbon credits have allowed YRE to continue its pivotal role in the further development of the biogas programme.

In October 2021 the Indonesian government introduced a presidential regulation on carbon trading. This regulation arranged the quota for offshore carbon trading. Foundations are not allowed anymore to sell carbon credits. For that reason it is necessary to shift the implementation of the IDBP from YRE as a not-for profit entity to a social business enterprise. 

Time is limited to undertake this transition. YRE hopes to quickly create a transition plan, a kind of road map describing how to transfer the IDBP portfolio from YRE to the enterprise. This includes transferring the human resources, workflows, subsidy arrangement, database management, stakeholder  communication and branding.

Objective

The objective of this assignment is to create a transition plan for YRE that describes the steps that are needed to transfer IDBP from an NGO-managed program to an IDBP that is managed by a private sector company with a clear business model that also plays a wider role in international and local carbon trading, aligning with Indonesian government relations and with a redefined role of YRE for IDBP.

Scope of Work

 The scope of work will be the following:

•            Collect, review, and analyse all the necessary documents needed to create the transition plan and the recommendations;

•            Carry out stakeholder analysis to bring out the roles and responsibilities of key players and institutions that play a vital role in the success of the carbon trading company;

•            Create a comprehensive transition plan that accurately describes the steps to be undertaken to achieve a successful transition (in the shortest possible time), resulting in the establishment of an Indonesia-based company certified to undertake (national/international) carbon trading in alignment with government regulations and the already developed business plan. The transition plan shall include the following aspects:

o   Redefining the company's structure to ensure that the new structure can quickly adapt to the already established IDBP workflow;

o   Redefining the company's Director and staff functions;

o   Redefining the workflows regarding construction of digesters, database management, carbon management, subsidy arrangement and carbon fund management between the company's business with YRE (if transition is done in phases);

o   Adjusting the subsidy arrangement in accordance to the limitations of a company to channel subsidies;

o   Proposing a communication and rebranding strategy for IDBP.

·       Present any obstacles that can prevent the establishment of such an enterprise and recommend solutions that mitigate the risks of these obstacles.

·       Redefine YRE's role in IDBP

·       Liaise with the legal consultant and the tax consultant on the viability of the proposed transition plan.

  Expected Outputs/Deliverables

The expected outputs/deliverables will include:

1.                   Transition plan / road map as described in the Scope of Work

2.                   Description  of the stakeholder network

3.                   Recommendations to mitigate potential obstacles or problems

4.                   Power point presentation and moderated discussions on the results of the assignment

Methodology

•            An appropriate and comprehensive methodology and approach will be presented in the inception report and implemented in consultation with the YRE team;

•            The consultant will work closely with the YRE team and the company team and will strictly follow the work plan and the time schedule agreed in undertaking the contract assignment; 

•            The consultant will undertake the collection and review of all the required data/information from various sources, including Government departments, Ministries, and other relevant sources.

Duration of the work

The assignment will start from early February until the end of March 2023 at the latest. A maximum of 20 working days can be realized.

Consultant specification

The applicant is expected to meet the following criteria:

▪ Significant (10y+) and proven experience in the renewable energy sector and/or carbon financing;

·       Experience and proven track record in designing and setting up institutional framework and systems for organizations and/or enterprises.

▪ Previous experience in conducting studies related to carbon offsetting and enterprise development;

▪ Work experience in Indonesia;

▪ Good analytical, critical thinking and report writing skills;

▪ Good understanding of development work; previous experience in the carbon financing sector is an asset;

▪ Ability to work on tight schedules with minimal supervision;

▪ Excellent English speaking and writing skills.

3. Proposal in the form of a 20 minutes Power Point presentation, outlining a proposed approach and methodology with time plan and budget

4. A sample of a similar piece of work previously conducted.
