Terms of Reference (ToR)
  1. About SNV

  1. Background and objectives of assignment
SNV is looking for a vendor/ organisation to deliver technical coaching to independent oil palm smallholders in Jambi through Regenerative Agriculture (RegAg) adoption, institutional and business development, RSPO membership facilitation, and the establishment of Internal Control Systems (ICS).
The intervention aims to enhance farmer knowledge and practice adoption related to Regenerative Agriculture (RegAg), Institutional and Business Development (IBD), and RSPO certification readiness through a combination of training services, field coaching, and provision of training tools and supporting materials.
In addition to delivering coaching services, the vendor will also be responsible for procuring essential training equipment, field demonstration materials, and documentation supplies required to conduct farmer training effectively.
Objective 1: Training on Palm Oil BMP and Regenerative Agriculture (RegAg) Practices
Provide training and field coaching to 3,000 independent smallholders on Best Management Practices (BMP), including the adoption of RegAg practices and the collection of TPP plot point data to enhance traceability and sustainable farm management.
 
Objective 2: Certification RSPO ISH 500 Farmer to 2 Internal Control System
Support the creation and operationalization of ICS units within farmer cooperatives to ensure compliance with RSPO standards, strengthen governance structures, improve monitoring of member farms, and prepare farmer organizations for independent RSPO certification.
 
Objective 3: Institutional and Business Development (IBD)
Strengthen 21 farmer organizations and cooperatives through comprehensive institutional development, including training on group dynamics, organizational governance, business planning, financial management, marketing, and cooperative operations. This also includes support for the technical assistance of compost units and integration of financial literacy and gender empowerment programs to improve resilience and sustainability.
 
  1. Assignment Overview and Scope of Work / Deliverables
The selected organization/firm shall be responsible for implementing the following activities under the TRACTION Program:
  1. Farmer Training & Coaching
  • Train and coach 3,000 independent smallholders on BMP and RegAg adoption.
  • Conduct field coaching to ensure implementation of RegAg practices.
  • Collect and process plantation plot points (TPP) for 3,000 smallholders.
  1. RSPO Certification (500 Farmers – 2 Farmer Organizations)
  • Facilitate farmers' declaration of commitment to RSPO certification.
  • Conduct spatial mapping and overlay analysis of plantations.
  • Undertake HCV/HCS assessments and compile reports.
  • Register farmer organizations as RSPO members.
  • Provide training on RSPO Principles & Criteria (P&C).
  • Conduct internal audits as preparation for RSPO third-party certification
  1.  Institutional & Business Development (IBD) for 21 Farmer Organizations
  • Deliver training on group dynamic, governance, business planning, and financial management using SNV IBD modules.
  • Support legal compliance and cooperative strengthening (AD/ART, NIB, AHU registration, financial systems, marketing strategies for compost fertilizer).
  • Provide technical support in production, marketing, financial management, and business planning for compost units (Bahar Selatan district).
  • Carry out a credit scoring system.
  • Connect selected replanting smallholders to CPO Funds and other financial institutions
  • Deliver training on financial literacy, gender awareness, and Income Generating Activities (how to setup the business and technical training according to their business).
  • Providing business assistance to women's groups receiving seed funding

  1. Copyright and Intellectual Property Rights
All reports, data, tools, and materials developed under this assignment remain the property of SNV. The service provider shall not use, publish, or distribute outputs without prior written approval from SNV.

  1. Payment terms
Payments to the selected vendor/ organization will be made in tranches, based on deliverables achieved and approved by SNV.
Notes:
  • Each payment will only be released after deliverables and evidence of activities are verified by SNV (MEL and Procurement team).
  • All reports, documentation (attendance lists, pre-post tests, photos, Logalto upload, training reports, Ect), and technical outputs must be submitted to support each payment milestone.
 
 
  1. Key Compliance Issues
The selected vendor/ organization shall comply with the following key requirements during project implementation:
  • Compliance with donor requirements, and international standards of integrity, sustainability, and accountability.
  • compliance with SNV Policies: Adherence to SNV's Code of Conduct, safeguarding policy, and integrity standards (zero tolerance for fraud, corruption, child labour, gender-based violence, and discrimination).
  • Compliance with RSPO standards and national regulations relevant to sustainable palm oil, labor rights, and land use.
  • Full respect for gender equality and social inclusion principles, ensuring women and marginalized groups have equitable participation.
  • Transparent and accountable financial management in line with donor and SNV requirements.
  • Protection of data privacy and confidentiality for all farmers and organizations engaged in the project.
 
  1. Due Diligence Instructions
SNV will conduct a due diligence process prior to awarding the contract. This may include, but is not limited to:
  • Verification of the organization's legal status and registration documents.
  • Review of financial capacity and audited financial statements (where applicable).
  • Assessment of the organization's technical experience in regenerative agriculture, RSPO certification, institutional development, and gender inclusion.
  • Reference checks with previous donors, or clients.
  • Confirmation that the organization is not on any sanctions or exclusion lists.
 
  1. Submission Requirements
Interested organizations should submit:
  • A technical proposal, outlining the approach, methodology, work plan, and key staff proposed for the assignment.
